4.2. Resolution No. 16-17-12: To Adopt Certain Findings And Approve The Energy Services Contract Between District And Opterra Energy Services, Inc. For Design, Installation, Operation And Maintenance Of Solar Photovoltaic Systems On Selected District Sites (Guillen)
Rationale:

OpTerra has proposed an Energy Services Contract (“Solar Contract”) to the Banning Unified School District (“District”) under which OpTerra will construct, install, operate and maintain photovoltaic systems on selected District sites to generate solar energy to support the District’s acquisition of cost-effective energy.  Pursuant to Government Code section 4217.10 et seq., the District may enter into the Solar Contract if the Board finds that the cost of the energy purchased under the Solar Contract is projected to be less than the anticipated cost of energy in the absence of the Solar Contract. The Board made the above cost-savings finding following a hearing at its regularly scheduled meeting on April 6, 2017, notice of which was provided two weeks in advance in accordance with Government Code section 4217.12.

Entering into the Solar Contract and authorizing OpTerra to construct, install, operate and maintain the Solar Project will result in annual savings in energy costs to the District and will accomplish one of the District’s goals, to improve the operational efficiency of the District’s facilities.

Recommended Motion:

District staff recommends that the Board of Education adopt Resolution No. 16-17-12, approving the Solar Project and authorize the Superintendent to execute the Solar Contract in substantially the same form as presented today, subject to minor revisions during the finalization of the documents that may be necessary to effect the intent of the parties, but which will not materially alter the terms of the Solar Contract before the Board today.
